These terms cover your use of file-tool as a seller. By signing in you agree to them. They're written plainly; if anything is unclear, ask at support@file-tool.example.
Buyers don't need an account, but the privacy policy still applies to them.
What this service does
file-tool gives sellers a permanent branded link to put inside a delivery PDF on their listing. Buyers open the link and download the current version of the product (or open a link-based template). When the seller publishes a new version, opted-in buyers get an email. That's it.
We are a fulfilment layer. We do not take payments and we do not move transactions off the marketplaces our sellers use. Compliance with each marketplace's policies, including Etsy's rules about external links and what can be sold, is the seller's responsibility.
Your obligations as a seller
- You own or have the right to distribute the content.Don't upload material you can't distribute. That includes stolen or pirated files, AI-generated content that infringes someone else's copyright, and templates you licensed under terms that forbid resale.
- No malicious or deceptive content.No malware, no phishing, no files designed to harm whoever opens them, no hidden trackers, no link destinations that bait-and-switch buyers into something they didn't pay for.
- Comply with the marketplace you sell on. Etsy's house rules (what can be listed, how delivery links may be used, prohibited items) are between you and Etsy. We can't shield you from a policy violation there.
- Respect buyers' consent.The opt-in box is for update notifications about the specific product they opened. Don't use the exported email list for unrelated marketing, don't add buyers to other lists without their separate consent, and don't sell or share the addresses.
- Keep your account secure.Use a current email you can receive magic-link sign-ins at; don't share access to your dashboard.
Our takedown rights
If we believe a product violates the rules above (from a buyer report, a rights-holder complaint, or our own review) we may freezethe product. A frozen product shows an “under review” message on its access page and stops serving downloads or opens. The product row, the slug, version history, and buyer rows all stay intact; the freeze can be reversed if review concludes there's no issue.
We don't delete a product silently. If after review we determine a removal is warranted, we'll contact the seller email on file before any permanent action.
For clear-cut abuse (active malware, ongoing phishing) we may freeze first and contact second. We'll always tell you what triggered it.
Buyer-continuity commitment
The product link printed in a buyer's delivery PDF is permanent and load-bearing. Buyers expect it to work indefinitely.
If your account lapses or you stop paying, for any reason other than a verified policy violation, existing buyer access links will continue serving the last published version for at least 12 months after the lapse. During that window you lose the dashboard, the ability to publish new versions, and the ability to send update emails, but buyers keep the file they paid for.
After the continuity window ends we'll contact you again before any deletion. If you reactivate during the window everything resumes; you don't lose history.
This commitment does NOT cover content removed for verified policy violations (rights-holder takedowns, active malware, etc.). Those stop serving immediately.
Reports + abuse
Every access page has a “Report this” link. Reports are reviewed in good faith. We don't reveal the reporter to the seller. Repeat false reports against the same product are themselves a violation of these terms.
Liability
We provide the service as-is. We work hard on uptime and integrity (see the privacy policy for the sub-processor list and backup posture) but we cannot guarantee uninterrupted service.
We are not responsible for the content sellers upload, for marketplace policy disputes you have with Etsy, or for losses caused by buyer mistakes (e.g. mistyping an email at opt-in). Our maximum aggregate liability for any claim is the amount you've paid us in the 12 months preceding the claim, or £50 if you haven't paid us anything (free tier).
Account closure
You can ask us to close your account at any time by emailing support@file-tool.example. The buyer-continuity commitment above still applies: your buyers' links keep working for the continuity period after closure.
Changes to these terms
We may update these terms. Material changes (anything that affects your obligations or our commitments to you) will be announced by email to the address on your account at least 14 days before they take effect. Non-material clarifications (typo fixes, link updates) take effect on publish.
Governing law
These terms are governed by the laws of England and Wales. Any dispute that can't be resolved by email goes to the courts of England and Wales.
